1. Introduction
 Welcome to SMR Solutions B.V. By engaging with our products or services, you agree to
 comply with and be bound by the following terms and conditions. Please read them  carefully.

These terms govern your use of our services and outline the rights and responsibilities of
both parties.


2. Definitions
 ● "Company" refers to SMR Solutions B.V., its affiliates, and subsidiaries.
 ● "Client" refers to the person, company, or entity engaging in business with SMR
 Solutions B.V.
 ● "Services" refers to any products, deliverables, or activities provided by SMR
 Solutions B.V.


3. General Terms
 3.1. Agreement Formation
 By requesting our services or products, you agree to enter into a binding agreement with
 SMR Solutions B.V. These Terms and Conditions will apply unless otherwise agreed in
 writing.
 3.2. Amendments
 SMR Solutions B.V. reserves the right to modify these Terms and Conditions at any time.
 Updated terms will be published and deemed accepted upon continued use of our services.

4. Services
4.1. SMR Solutions B.V. agrees to provide services or products as outlined in the agreement,
proposal, or contract.
4.2. All delivery timelines and milestones are estimates unless explicitly agreed otherwise in
writing.
4.3. Any changes or additional requirements beyond the agreed scope may result in
additional costs.


5. Payment Terms
 5.1. Invoices must be paid within the agreed-upon payment terms as specified in the
 contract or invoice.
 5.2. Late payments may incur interest at a rate specified in agreement if applicable.
 5.3. SMR Solutions B.V. reserves the right to suspend services if payment is not received on
 time.


6. Confidentiality
 Both parties agree to maintain the confidentiality of proprietary and sensitive information
 exchanged during the course of business. This obligation will continue even after the
 termination of the agreement.


7. Limitation of Liability
 7.1. SMR Solutions B.V. will not be held liable for indirect, incidental, or consequential
 damages arising from the use of its services.
 7.2. The Company’s total liability will not exceed the total fees paid by the Client for the
 specific service or product giving rise to the claim.


8. Warranties and Disclaimers
 8.1. SMR Solutions B.V. guarantees that services will be provided with reasonable care and
 skill.
 8.2. No warranties, express or implied, are provided beyond what is explicitly stated in the
 agreement.


9. Termination
 9.1. Either party may terminate the agreement with written notice in accordance with the
 terms specified in the contract.
 9.2. In the event of termination, the Client must pay for all services rendered up to the date
 of termination.


10. Governing Law
 This agreement shall be governed by and construed in accordance with the applicable laws
 of concerning jurisdiction in the Netherlands, Any disputes arising from these terms will be
 subject to the exclusive jurisdiction of the courts.


11. Force Majeure
 SMR Solutions B.V. will not be liable for delays or failure to perform due to circumstances
 beyond its reasonable control, including natural disasters, acts of government, strikes, or
 technical failures.

13. Entire Agreement
 These Terms and Conditions constitute the entire agreement between the Client and SMR
